Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website Payos.in, mobile applications, and related services (collectively, the "Platform") operated by Payosphere Technologies Private Limited ("Company", "we", "us", or "our"), a private limited company incorporated under the laws of India, with its registered office in Noida, Uttar Pradesh, India.

The Platform provides digital payment services, including but not limited to UPI-based transactions, payment gateway facilities, fund transfers, bill payments, and other financial services facilitated through the Unified Payments Interface (UPI) or other payment systems (collectively, the "Services").

By accessing, registering, or using the Platform or Services, you ("User", "you", or "your") agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, please do not access or use the Platform or Services.

1. Eligibility

  • You must be at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.
  • You must be a resident of India or otherwise permitted to use the Services under applicable laws.
  • You represent that you are not barred from using the Services under any applicable law.

2. Registration and Account

  • To access certain Services, you must register by providing accurate, complete, and current information, including your mobile number, bank details, and other required data.
  • Registration may involve linking your bank account via UPI or other mechanisms, and verification through OTP or other methods.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Accounts are personal and non-transferable. You must notify us immediately of any unauthorized use.
  • We reserve the right to suspend or terminate accounts for violations of these Terms or suspected fraudulent activity.

3. Services

  • The Platform facilitates peer-to-peer payments, merchant payments, bill payments, recharges, and other transactions via UPI and integrated payment systems.
  • We act as a technology platform and/or Third Party Application Provider (TPAP) in compliance with NPCI guidelines. Actual fund transfers are processed by banks and NPCI.
  • Services are subject to limits imposed by NPCI, RBI, banks, or us (e.g., transaction limits, daily caps).
  • We do not guarantee uninterrupted or error-free Services and are not liable for delays due to technical issues, network problems, or third-party systems.

4. User Obligations

  • You agree to use the Services only for lawful purposes and in compliance with all applicable laws, including RBI guidelines, NPCI rules, and the Payment and Settlement Systems Act, 2007.
  • Prohibited activities include: fraudulent transactions, money laundering, funding illegal activities, exceeding transaction limits, using false information, or attempting to reverse engineer the Platform.
  • You must provide accurate transaction details and ensure sufficient funds in linked accounts.
  • You consent to receive transactional SMS, notifications, and calls, even if your number is on the Do Not Disturb (DND) registry, solely for Service-related purposes.

5. Fees and Charges

  • Certain Services may attract fees, charges, or taxes as displayed on the Platform or notified.
  • Transaction fees, if any, will be deducted as per applicable rules.
  • We reserve the right to modify fees with prior notice.

6. Refunds and Disputes

  • Transactions are generally irreversible once completed.
  • In case of failed or erroneous transactions, refunds (if applicable) will be processed as per NPCI/RBI guidelines, typically credited back to the source account.
  • Disputes must be raised within the stipulated time via the Platform's support or grievance mechanism.
  • We are not liable for disputes between users (e.g., sender and receiver) and act only as a facilitator.
  • No refunds for completed successful transactions.

7. Privacy and Data

  • Your personal and transaction data will be handled in accordance with our Privacy Policy and applicable laws, including the Information Technology Act, 2000, and Digital Personal Data Protection Act, 2023 (when in force).
  • You consent to the collection, storage, and sharing of data with banks, NPCI, and regulators as required for providing Services.

8. Disclaimer of Warranties

  • The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including accuracy, reliability, or fitness for a particular purpose.
  • We do not guarantee that transactions will always succeed, be secure from fraud (despite safeguards), or meet your expectations.
  • We are not responsible for actions of banks, NPCI, or third parties.

9. Limitation of Liability

  • To the maximum extent permitted by law, our liability is limited to the amount of the affected transaction or direct damages, whichever is lower.
  • We shall not be liable for indirect, consequential, or incidental damages, including loss of profits, data, or goodwill.
  • We are not liable for force majeure events, including network failures, cyber attacks, or regulatory changes.

10. Indemnification

  • You agree to indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, losses, or damages arising from your use of the Services, breach of Terms, or violation of laws.

11. Termination

  • We may suspend or terminate your access to the Platform or Services at any time, without notice, for violations, inactivity, or risk management.
  • You may discontinue use by unlinking accounts and stopping usage.

12. Amendments

  • We may update these Terms from time to time. Continued use after changes constitutes acceptance.
  • Material changes will be notified via the Platform or email/SMS.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes shall be resolved through arbitration in Noida/Delhi under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by us.
  • Subject to arbitration, courts in Noida/Delhi shall have exclusive jurisdiction.
